| SEXUAL HARASSMENT (PREVENTION) POLICY |
| TRL Krosaki Refractories Limited is committed to maintain a congenial and harmonious work environment. As a responsible employee, the Company shall not tolerate acts of sexual harassment, which may include unwelcome sexual advance, requests for sexual favours and other physical,verbal or nonverbal conduct with sexual overtones by any person working in any of its plants or offices. Appropriate action shall be taken against any individual who is found guilty of any of the above acts. |
| It is also a violation of this policy for anyone acting knowingly and recklessly either to make a false complaint of sexual harassment or to provide false information regarding a complaint. |

| WHISTLE BLOWER POLICY |
| The Company conducts its affairs in a fair and transparent manner with highest standards of professionalism and ethical behavior. Towards this end the Company is governed by the principles and standards of the Tata Code of Conduct with regard to the actions of the Company and its employees. |
| TRL Krosaki encourages its employees and other stakeholders,. to report violations or concerns about violation of terms of the Tata Code of Conduct by any employee of the company. Those making such reports are termed "Whistle Blowers" and are entitled for the privileges enumerated in this policy. |
- The identity of Whistle Blower shall be kept confidential, subject to laws of the land
|
- No unfair treatment will be meted out to a Whistle Blower. Should the Whistle Blower experience any difficulties as a result of reporting a concern, the Company shall take steps to remove them.
|
- The Whistle Blower shall neither be required to investigate nor prove a violation.
|
- On successful provenance of a concern or a violation, the Whistle Blower will be appropriately rewarded.
|
|
It may be noted that:
|
- The Whistle Blowers are required to report their concerns in writing. Anonymous communications shall not be entertained.
|
- Concerns reported frivolously or maliciously shall be deemed to be acts of indiscipline, in case of employee "Whistle Blowers".
|
- The Whistle Blowers may report their concerns either to the Ethics Counselor or to the Managing Director.
