| TATA CODE OF CONDUCT |
|
It is a clearly defined document articulating the
values and principles that have governed the manner
in which Tata Group of Companies and their employees
have conducted themselves over the past 120 years. This
document serves as a guide to each employee on the values,
ethics and business principles expected of him or her
It contains 25 clauses of which first 16 are to be
followed by the Company and its employees while the
rest 9 are exclusively for the employees to follow.

| NATIONAL INTEREST |
|
A Tata Company shall be committed in all its actions
to benefit the economic development of the countries
in which it operates and shall not engage in any activity
that would adversely affect such objective. A Tata Company
shall conduct its business affairs in accordance with
economic development and foreign policies , objectives
and priorities of the Nation's government

| FINANCIAL REPORTING AND RECORDS |
|
A Tata Company shall prepare and maintain its accounts
fairly and accurately in accordance with the accounting
and financial reporting standard of the country in which
the Company operates. Internal accounting and audit
procedure shall fairly and accurately reflect Company's
business transactions and disposition of assets.
Any willful misrepresentation of financial accounts
and reports shall be regarded as violation of the Code

| COMPETITION |
|
A Tata Company shall fully strive for establishment
and support of a competitive open market economy in
India and abroad. It shall not engage in activities,
which will make unfair and misleading statements, generate
or support monopolies, dominant market positions, cartels
and other unfair trade practices. It shall not make
unfair and misleading statements about competitor's
products and services

| EQUAL OPPORTUNITIES EMPLOYER |
|
A Tata Company shall provide equal opportunities to
all its employees and all qualified applicants for employment
without any kind of discrimination. An employee will
be treated with dignity and to maintain a work environment
free from any kind of harassment. Employee policies
will ensure providing equal opportunity in all matters
to those eligible and decisions are merit-based.

| GIFTS AND DONATIONS |
|
shall neither receive nor offer directly or indirectly
any illegal payments, gifts, donations etc.

| GOVT.AGENCIES |
|
No Company funds nor property shall be given as donation
to any Govt. agencies for any favour.

| POLITICAL NON- ALIGNMENT |
|
No specific political party, candidate or campaign
should be supported directly or indirectly.

| HEALTH SAFETY AND ENVIRONMENT |
|
A Tata Company shall strive to provide a safe and healthy
environment and comply all regulations regarding environment
protection.

| QUALITY OF PRODUCTS AND SERVICES |
|
A Tata Company shall be committed to supply goods and
services of the highest quality standard backed by sufficient
after sale service to ensure total customers' satisfaction
|
| CORPORATE CITIZENSHIP |
|
A Tata Company shall be committed to be a good corporate
citizen not only in compliance with all relevant laws
and regulations but also by improving the quality of
life of the people by initiating community initiatives
in the field of health, family welfare, water management,
vocational training, literacy programme etc.

| CO-OPERATION OF TATA COMPANIES |
|
A Tata Company shall co-operate with another Tata Company
by sharing physical, human and management resources
without affecting its business. It will give preference
to another Tata Company in procurement of product and
services.
|
| THIRD PARTY REPRESENTATION |
|
Parties like consultants, agents, sales representatives,
contractors, suppliers etc. of a Tata Company shall
not be authorised to represent that Tata Company if
their business conduce and ethics are known to be inconsistent
with the Code.

| USE OF THE TATA BRAND |
|
The use of Tata Brand is defined and regulated by the
Tata Brand Equity & Business Promotion agreement which
will govern its use.
|
| GROUP POLICIES |
|
A Tata Company shall recommend to its Board of Directors
the adoption of policies and guidelines periodically
formulated by Tata Sons.
|
| SHAREHOLDERS |
|
A Tata Company shall be committed to enhance shareholder
value and comply with all laws and regulations that
govern shareholder's rights. It shall inform them about
all relevant aspects of the Company's business in accordance
with respective regulations and agreements.

| ETHICAL CONDUCT |
|
Every employee of a Tata Company shall deal with professionalism,
honesty, integrity, as well as high moral and ethical
standards such conducts shall be fair and transparent
and be perceived to be as such by third parties. Every
employee shall be responsible for the implementation
of and compliance with the Code. Failure to adhere to
the Code could attract the most severe consequence including
termination of employment.

| REGULATORY COMPLIANCE |
|
Every employee shall comply with all applicable laws
and regulations in all territories in which he operates,
and the standard of the Code shall prevail if standard
of set out laws in that territory are below that of
the Code.

| CONCURRENT EMPLOYMENT |
|
An employee of a Tata Company shall not, without prior
permission of the M.D.,accept employment or position
of responsibility with any other company, nor provide
free-lance service.
|
| CONFLICT OF INTEREST |
|
An employee of a Tata Company or his close relatives
shall not engage in any business, relationship or activity,
which might detrimentally conflict with the interest
of his Company or Group. In such a situation the employee
concern shall make a disclosure by giving a declaration
to the Management. Failure to make a disclosure will
expose the concerned employee to severe disciplinary
action.

| Securities transactions and
confidential information |
|
An employee of a Tata company or his immediate family
shall not derive any benefit or assist others to derive
any benefit from their access to and possession of information
about the company which are insider information.
|
| PROTECTING COMPANY ASSETS
|
|
All tangible and intangible assets of a Tata Company
are to be protected.
|
| CITIZENSHIP |
|
An employee of a Tata Company is free to persue an
active role in civic or political affairs in his private
life as long as it does not affect adversely the business
interest of the company or the group.
|
| INTEGRITY OF DATA FURNISHED |
|
Every employee of a Tata Company shall ensure, at all
times, the integrity of data furnished by him.
|
| REPORTING CONCERN |
|
Every employee of a Tata Company shall promptly report
to the Management any actual or possible violation of
the Code.
